Terms of Service

Runsheet.tech ("Runsheet," "we," "us," or "our") is a product of SOZ Studios LLC ("Company"). These Terms of Service ("Terms") govern your access to and use of the Runsheet website, directory, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. What Runsheet Is
Runsheet is a directory and introduction platform that connects brands ("Brands") seeking domestic manufacturing partners with verified and unverified manufacturing factories ("Factories"). Runsheet:
Publishes factory profiles, including information submitted by Factories and reviews submitted by Brands and other users.
Facilitates introductions between Brands and Factories, either through paid direct introduction requests or through a free production brief and bidding system.
Publishes shared production programs listed by Factories ("Open Runs") and facilitates expressions of interest from Brands in joining those programs.
Offers paid membership tiers for Brands (Starter, Pro) and Factories (Factory Membership) that unlock additional features.
Runsheet is a connector, not a party to any transaction between a Brand and a Factory. We do not manufacture goods; we are not a party to any agreement, purchase order, contract, or Open Run production arrangement between a Brand and a Factory; and we do not guarantee the quality, timeliness, legality, or outcome of any work performed by any Factory or any order placed by any Brand. Any agreement to manufacture, produce, or purchase goods — including participation in an Open Run — is solely between the Brand and the Factory. Open Run details (including fabric, cut dates, minimums, pricing, and available capacity) are set by the listing Factory and may change or be withdrawn at any time.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Platform. By using the Platform, you represent that you meet these requirements and that any information you provide is accurate and current.
3. Accounts
You may need to create an account or submit a profile to access certain features (e.g., posting a production brief, claiming a factory profile, requesting an introduction, listing or joining an Open Run). You are responsible for:
The accuracy of information you submit, including factory details, contact information, and project details.
Maintaining the confidentiality of any login credentials associated with your account.
All activity that occurs under your account.
We reserve the right to suspend or terminate accounts that provide false, misleading, or fraudulent information.
4. Factory Profiles and Verification
Factories may appear on Runsheet in two states:
Unclaimed: A profile created or populated by Runsheet using publicly available or independently sourced information, without the Factory's direct involvement. Unclaimed profiles have not been verified by Runsheet.
Verified / Claimed: A profile that the Factory has claimed, confirmed as accurate, and enrolled in a paid Factory Membership.
Runsheet does not independently verify the accuracy of any Factory's claims, certifications, capabilities, capacity, pricing, or the authenticity of any Factory's identity beyond commercially reasonable review. "Verified" status indicates the Factory has claimed and confirmed its profile and completed our onboarding process — it is not a guarantee of quality, reliability, or fitness for any particular purpose.
5. Introduction Requests, Memberships, and Fees
Verified Factory Introductions: Brands may request an introduction to a Verified Factory. Fees for this service are disclosed at the time of request and are non-refundable once the introduction has been made, except as required by law.
Unclaimed Factory Introductions: Where Runsheet facilitates outreach to an Unclaimed Factory on a Brand's behalf, fees (if any) are contingent on the terms disclosed at the time of the request (e.g., only charged if the Factory responds within a specified window).
Membership Plans: Starter, Pro, and Factory Membership plans are billed on a recurring basis (monthly, unless otherwise stated) through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.
Free Trials and Promotional Periods: Where a free trial or promotional free period is offered (e.g., the Factory Membership founding offer), your payment method is collected at signup but not charged during the free period. Where the free period is disclosed at signup as ending upon the earlier of a fixed duration or a delivered service milestone (for example, "free for 90 days or until your first brand introduction, whichever comes first"), the free period ends — and recurring billing begins — upon whichever event occurs first. Your payment method will be charged automatically when the free period ends unless you cancel before that time.
Promotional Pricing: Promotional rates (e.g., the founding-member rate) apply only while the associated subscription remains continuously active. If a subscription with promotional pricing is canceled or lapses, the promotional rate is forfeited, and any re-subscription is at then-current standard pricing.
All fees are described at checkout. Runsheet reserves the right to change pricing prospectively, with notice provided to active subscribers.
6. Cancellations, Refunds, and Effects of Cancellation
Subscription plans may be canceled at any time through the membership management portal linked in your dashboard, or by emailing info@runsheet.tech. Cancellation takes effect at the end of the current billing period unless otherwise stated. No charge is made if you cancel before a free period ends.
One-time introduction fees are generally non-refundable once the corresponding service (e.g., the introduction) has been delivered.
Runsheet does not guarantee that any introduction, brief, bid, or Open Run will result in a completed transaction between a Brand and a Factory, and is not responsible for refunding fees based on the outcome of that relationship.
Effects of Factory Membership cancellation. When a Factory Membership is canceled or lapses:
The Factory's profile reverts to Unclaimed status, and paid features (including profile control, verified badge, priority placement, review responses, and Open Run listings) are disabled. Active Open Run listings are unpublished.
Reviews of the Factory, and any responses the Factory published while a member, remain on the Platform. Reviews are part of the Platform's public record and are not contingent on the Factory's membership status (see Section 7).
Any promotional pricing (including the founding-member rate) is forfeited as described in Section 5.
7. Reviews and User Content
Runsheet allows Brands and other eligible users to submit reviews of Factories ("Reviews") and allows Factories to submit profile content and responses to Reviews ("Factory Content"). By submitting Reviews or Factory Content, you represent that:
The content is truthful, accurate, and based on your own direct experience (for Reviews) or is accurate information about your business (for Factory Content).
You have the right to submit the content and it does not infringe any third party's rights.
You will not submit content that is defamatory, harassing, discriminatory, fraudulent, or otherwise unlawful.
Runsheet does not pre-screen all user-submitted content and is not responsible for its accuracy. We reserve the right, but have no obligation, to remove, edit, or refuse to publish any content at our sole discretion, including in response to a good-faith dispute between a Brand and a Factory.
Reviews and published Factory responses remain on the Platform regardless of any user's account or membership status, including after a Factory cancels its membership. Membership governs participation on the Platform, not the existence of the Platform's public record.
You grant Runsheet a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute any content you submit to the Platform in connection with operating and promoting Runsheet.
8. Prohibited Conduct
You agree not to:
Submit false, misleading, or fraudulent information, including fake reviews, fabricated factory listings, or Open Run listings for programs that do not exist.
Use the Platform to circumvent Runsheet's introduction or fee system (e.g., using an introduction solely to obtain contact information and complete a transaction off-platform in bad faith, where fees were disclosed as applicable to the transaction).
Scrape, harvest, or systematically extract data from the Platform without our prior written consent.
Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
Interfere with or disrupt the Platform's operation, security, or infrastructure.
9. Disclaimers
THE PLATFORM AND ALL CONTENT, INCLUDING FACTORY PROFILES, REVIEWS, AND OPEN RUN LISTINGS, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RUNSHEET DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY FACTORY, BRAND, REVIEW, PROFILE, OR OPEN RUN INFORMATION IS ACCURATE OR COMPLETE. ANY COST ESTIMATES, BENCHMARKS, OR CALCULATOR OUTPUTS PROVIDED ON THE PLATFORM ARE INFORMATIONAL ESTIMATES ONLY AND ARE NOT QUOTES, OFFERS, OR GUARANTEES OF PRICING.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOZ STUDIOS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, ANY TRANSACTION OR RELATIONSHIP BETWEEN A BRAND AND A FACTORY (INCLUDING ANY OPEN RUN), OR ANY CONTENT ON THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE AMOUNT YOU PAID TO RUNSHEET IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless SOZ Studios LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your content, your violation of these Terms, or your relationship or transactions with any other user of the Platform.
12. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Platform and cancel any subscription at any time as described in Section 6.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date, and continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Platform will be resolved in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.
